This Terms and Conditions Agreement ("Agreement") is made
and entered into by and between SFXAFRIK, a Sound effects hub
("Licensor"), and you, the individual or entity purchasing sound
effects from the Licensor's website, the end user ("Licensee").

WHEREAS, Licensor owns, sells, and licenses sound effects

​

WHEREAS,  Licensee desires to  buy or  obtain a license to use the
Sounds.

​

NOW, THEREFORE, in consideration of the foregoing premises and
the mutual covenants contained herein, the parties agree as follows:

1. Grant of License

​

1.1 In consideration of the purchase of sound effects (e.g., pack, single), Licensor grants to you (the buyer/Licensee) royalty-free effects to use in accordance with the terms of this Agreement.

​

1.2 In consideration of the payment of the license fee (the "License
Fee") paid, the Licensor grants to you a non-exclusive, perpetual, royalty
free license (the "License") to use the Sound effects downloaded from
this website in accordance with the terms of this Agreement.

​

1.3 The   type   of   license  or   effects  granted  or   purchased  (e.g.,
standard, multi-user) will be dependent on the specific sound effect
purchased and will be clearly outlined on the product page.

2. Use of Sounds

​

Restrictions

​

2.1 You agree to only use the Sound effects for any purpose in any
media production now known or hereafter devised, including, but not
limited to, synchronization with videos, films, games, and other audiovisual productions.

​

2.2 You may edit and modify the Sounds for the purpose of incorporating them into their productions.

​

Prohibitions

​

2.3 You may not distribute or resell the Sounds as standalone files or libraries.

​

2.4 You may not embed or use the Sound Effects in mobile applications, ringtones, websites, or similar digital or stand-alone audio products without synchronization with a media production.

​

2.5 You may not claim ownership or authorship of the Sounds.

​

2.6 You may not modify the Sound Effects beyond basic editing (e.g., looping, trimming) unless a specific license is purchased for that purpose.

​

2.7 You may not sublicense the Sound effects to any third party.

​

3. Term and Termination

​

3.1 The term of this Agreement will be effective and shall commence on the date of purchase and upon your download of the Sound effects, and shall continue in perpetuity unless terminated by either party.

​

3.2 This Agreement will be terminated automatically upon a material breach by you.

​

3.3 Upon termination of this Agreement, your right to use the Sounds shall immediately cease, and you must delete or destroy all copies in your possession.

​

4. Intellectual Property

​

4.1 All rights, titles, and interests in and to the Sounds, including all intellectual property rights, and copyrights, are and shall remain the exclusive property of the Licensor.

5. Disclaimer of Warranties

​

5.1 THE SOUNDS ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

​

6.1 IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF THE SOUNDS, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

​

7.1 You agree to indemnify and hold harmless the Licensor, its officers, directors, employees, agents, and licensors from and against any claims, demands, losses, liabilities, costs, or expenses (including attorneys' fees) arising out of or in connection with your use of the Sound effects.
 
8. Entire Agreement

​

8.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

​

9. Governing Law

9.1 This Agreement shall be governed by and construed per the laws of the country.

​

10. Severability

​

10.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

​

11. Waiver

11.1 No waiver by either party of any breach of this Agreement shall be deemed a waiver of any subsequent breach.

​

12. Notices

​

12.1 All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when downloaded successfully, delivered personally, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by courier service.

​

13. Force Majeure

​

13.1 Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, labour strikes or government regulations.

​

14. Updates to Terms and Conditions

​

14.1 Licensor reserves the right to update these terms and conditions at any time. The updated Terms and Conditions will be posted on the website. Licensee's continued use of the Sound effects following the posting of updated Terms and Conditions constitutes Licensee's acceptance of the updated Terms and Conditions.
 
BY DOWNLOADING THE SOUND EFFECTS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
